1. Who this applies to
These Terms govern your use of hire.nearside.pro and nearside.pro (together, "the Site") and any services you engage from Nearside Systems LLC ("Nearside," "we," "us"). By submitting a form, starting a Role Blueprint, or engaging our services, you agree to these Terms.
2. What Nearside does
Nearside provides a system for U.S. and Canadian businesses to define a remote role (Role Blueprint), source and verify bilingual candidates across Latin America (Search & Selection), and — where applicable — arrange the legal employment structure for the selected candidate through vetted Employer of Record (EOR) partners.
Nearside is not an employment agency and does not guarantee employment to any candidate. We are not a marketplace where you self-select from unscreened profiles.
3. Engagement process
- Role Blueprint — a diagnostic conversation to define the role. No cost for qualified businesses.
- Search & Selection — sourcing and seven-stage verification of candidates, delivered as a shortlist. One-time fee (see Pricing).
- Selection & structuring — you interview and choose; Nearside determines the appropriate engagement structure (formal local employment via EOR, independent contractor, or Nearside Direct) based on role, country, and risk.
- Launch & operation — onboarding, payroll coordination (where applicable), and ongoing account support.
4. Fees and payment
- One-time Search & Selection fees and monthly tier pricing are as published on hire.nearside.pro/us at the time of your engagement, or as stated in your Master Service Agreement (MSA).
- Monthly pricing begins after candidate selection, not at the Role Blueprint stage.
- Formal local employment (EOR) engagements require a payroll deposit before activation.
- All engagements are governed by a signed Master Service Agreement, which controls in the event of any conflict with this page.
5. Cancellation
Either party may cancel an ongoing engagement per the notice period stated in your MSA. Cancellation does not retroactively refund one-time Search & Selection fees already delivered.
6. Conversion fee (buyout)
If you wish to hire a Nearside-sourced candidate directly, outside of Nearside's engagement structure, a conversion fee applies as stated in your MSA.
7. Non-circumvention
For the duration of your engagement and for 12 months after, you agree not to engage, hire, or contract — directly or indirectly — any candidate introduced by Nearside outside of a Nearside engagement structure or an agreed conversion fee.
8. Replacement guarantee
Formal local employment (EOR) roles include a 90-day replacement guarantee, per the terms of your MSA. Independent contractor and Nearside Direct engagements are supported on a best-effort basis; specific terms are set in your MSA.
9. SMS / text messaging terms
If you opt in to receive text messages from Nearside Systems LLC:
- Message frequency varies.
- Message and data rates may apply.
- Reply STOP to any message to unsubscribe at any time.
- Reply HELP to any message for assistance.
- Opting in to SMS is never a condition of using our Site or submitting a form.

10. Limitation of liability
To the maximum extent permitted by law, Nearside's total liability for any claim arising from these Terms or your engagement is limited to the fees paid to Nearside in the 12 months preceding the claim. Nearside is not liable for indirect, incidental, or consequential damages.
11. Not legal, tax, or labor advice

12. Governing law
These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-law principles.
13. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date above reflects the most recent revision. Continued use of the Site after changes constitutes acceptance.
