These Terms govern your use of hire.nearside.pro and nearside.pro (together, "the Site") and any services you engage from Nearside Systems LLC ("Nearside," "we," "us"). By submitting a form, starting a Role Blueprint, or engaging our services, you agree to these Terms.
Nearside provides a system for U.S. and Canadian businesses to define a remote role (Role Blueprint), source and verify bilingual candidates across Latin America (Search & Selection), and — where applicable — arrange the legal employment structure for the selected candidate through vetted Employer of Record (EOR) partners.
Nearside is not an employment agency and does not guarantee employment to any candidate. We are not a marketplace where you self-select from unscreened profiles.
Either party may cancel an ongoing engagement per the notice period stated in your MSA. Cancellation does not retroactively refund one-time Search & Selection fees already delivered.
If you wish to hire a Nearside-sourced candidate directly, outside of Nearside's engagement structure, a conversion fee applies as stated in your MSA.
For the duration of your engagement and for 12 months after, you agree not to engage, hire, or contract — directly or indirectly — any candidate introduced by Nearside outside of a Nearside engagement structure or an agreed conversion fee.
Formal local employment (EOR) roles include a 90-day replacement guarantee, per the terms of your MSA. Independent contractor and Nearside Direct engagements are supported on a best-effort basis; specific terms are set in your MSA.

To the maximum extent permitted by law, Nearside's total liability for any claim arising from these Terms or your engagement is limited to the fees paid to Nearside in the 12 months preceding the claim. Nearside is not liable for indirect, incidental, or consequential damages.

These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-law principles.
